Effective date: October 30, 2026
This End-User License Agreement (the “Agreement”) is between Woods Holdings & Advisory, LLC (“FundLayer”, “we”, “us”) and the organization or person that signs up for or uses FundLayer (“Customer”, “you”). If you accept this Agreement for an organization, such as a church or a bookkeeping practice, you confirm that you have authority to bind it.
By creating an account, connecting a QuickBooks Online company, or using the service, you agree to this Agreement. If you do not agree, do not use FundLayer.
1. The service
FundLayer is a web application, available at https://app.fundlayer.app, that connects to a QuickBooks Online company with read-only access and uses that data to show fund balances, track restricted gifts, produce fund reports, and prepare donor contribution statements (the “Service”).
2. License
Subject to this Agreement and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during your subscription for your internal business purposes, or, for bookkeeping practices, to provide services to your own clients.
You may not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer or attempt to extract its source code, except where the law allows despite this restriction; (c) resell, rent, or provide the Service to third parties except as this Agreement allows for bookkeeping practices; (d) access the Service to build a competing product; (e) bypass security, rate limits, or access controls; or (f) use the Service in violation of law or the rights of others.
3. QuickBooks Online connection
The Service connects to QuickBooks Online through Intuit’s application programming interfaces. When you connect a company, you authorize FundLayer to read that company’s accounting data on your behalf. FundLayer requests read-only accounting access and does not create, change, or delete data in QuickBooks Online.
You must have the right to connect each company you connect. Bookkeeping practices must have their clients’ permission to connect their files to FundLayer.
You can disconnect a company at any time from FundLayer or from QuickBooks Online. When a company is disconnected, we delete the data we synced from it as described in our Privacy Policy.
Your use of QuickBooks Online is governed by your agreement with Intuit Inc. Intuit is not a party to this Agreement and is not responsible for the Service. QuickBooks and QuickBooks Online are registered trademarks of Intuit Inc.
4. Accounts and security
You are responsible for the people you invite to your account and for keeping sign-in credentials and multi-factor authentication devices secure. Tell us promptly at [email protected] if you believe your account has been compromised.
5. Subscriptions, trials, and fees
Some features require a paid subscription. Prices and plan limits are shown on our pricing page or in the Service at the time you subscribe.
- Trials. Free trials last for the period shown when you sign up. We do not charge you during a trial unless you choose a paid plan.
- Billing and renewal. Paid subscriptions renew automatically for the same term (monthly or annual) until cancelled. Payments are processed by our payment provider, Stripe. You authorize us to charge your payment method for each renewal.
- Per-file plans. Bookkeeper plans are billed per connected company, subject to any plan minimum.
- Cancellation. You can cancel at any time in the Service. Cancellation takes effect at the end of the current billing period, and fees already paid are not refunded except where the law requires.
- Price changes. We will give at least 30 days’ notice of a price change, which takes effect at your next renewal.
- Taxes. Fees exclude taxes. You are responsible for applicable taxes other than taxes on our income.
6. Your data
“Customer Data” means data you or your users submit to the Service, and data the Service syncs from your connected QuickBooks Online companies, including donor names, contact details, and giving history.
You own your Customer Data. You grant us a limited right to host, copy, process, and display Customer Data only to provide, secure, and support the Service and as described in our Privacy Policy. We do not sell Customer Data, use it for advertising, or use it to train artificial-intelligence models.
You are responsible for the accuracy of the data in your QuickBooks Online company and for having a lawful basis to provide donor data to us and to send statements to donors.
We may create aggregated, de-identified statistics about use of the Service (for example, the number of statements generated) that do not identify you, any church, or any donor.
7. Contribution statements and reports are not professional advice
The Service helps you prepare fund reports and donor contribution statements from your own records. It does not provide legal, tax, or accounting advice. You are responsible for reviewing statements and reports before you rely on them or send them, and for meeting the requirements that apply to your organization, including Internal Revenue Service substantiation and disclosure rules. Consult a qualified professional for advice about your situation.
8. Third-party services
The Service relies on third-party services, including Intuit (QuickBooks Online), Microsoft Azure (hosting), Stripe (payments), and email delivery providers. We are not responsible for third-party services we do not control, and their availability may affect the Service.
9. Acceptable use of email
When you send contribution statements through the Service, you are the sender of those messages. You agree to send them only to donors who have a relationship with your organization, and not to use the Service to send unsolicited or marketing email. We may suspend sending if bounce or complaint rates threaten deliverability for other customers.
10. Confidentiality
Each party will protect the other’s non-public information that it receives under this Agreement with reasonable care, and use it only to perform under this Agreement.
11. Suspension and termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you materially breach this Agreement and do not cure the breach within 15 days of notice, immediately if needed to prevent harm to the Service, other customers, or donors, or if required by law or by Intuit.
After termination, you may export your reports and statements for 30 days, unless termination was for your breach. We then delete Customer Data as described in our Privacy Policy.
12. Warranties and disclaimers
We will provide the Service with reasonable skill and care. EXCEPT AS STATED IN THIS AGREEMENT, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE IF THE UNDERLYING QUICKBOOKS DATA IS INACCURATE OR INCOMPLETE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY. EACH PARTY’S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF GREATER. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS OR TO A PARTY’S INDEMNITY OBLIGATIONS, OR TO LIABILITY THAT CANNOT BE LIMITED BY LAW.
14. Indemnity
You will defend and indemnify us against third-party claims arising from Customer Data you had no right to provide, or from your use of the Service in violation of this Agreement or law. We will defend and indemnify you against third-party claims that the Service, as provided by us, infringes their intellectual property rights.
15. Changes to this Agreement
We may update this Agreement. If a change is material, we will notify account owners by email or in the Service at least 30 days before it takes effect. Continuing to use the Service after the effective date means you accept the change.
16. General
This Agreement is governed by the laws of the State of South Carolina, without regard to conflict-of-laws rules, and the courts in Lexington County, South Carolina have exclusive jurisdiction. You may not assign this Agreement without our consent; we may assign it to a successor to our business. If a provision is unenforceable, the rest remains in effect. This Agreement, with our Privacy Policy, is the entire agreement between the parties about the Service.
